Working draft, with no contractual value while the publisher is not incorporated and the text has not been reviewed by a lawyer.

Grant

While your subscription is active, you get a personal, non-exclusive, non-transferable and revocable right to use the desktop app and the agent, for your professional or personal use. The right is granted, never assigned: nothing here sells you the software.

Devices and servers

You install the app on the computers you work from. What is counted is managed servers: an enrolled server takes a seat, a removed server frees it. An organisation shares its seats between its members.

Restrictions

You do not redistribute the app or the agent, do not rent them out, and do not build them into a service resold to third parties. You do not try to decompile them, to bypass the entitlement check, or to run the agent on a server that has no seat.

Ownership

The app, the agent, the service catalogue, the console and the protocol belong personally to Jordan Monier, their sole rights holder while the publishing company is not incorporated; they will be transferred to that company when it is formed. The projects you create, the code you write and the data on your servers stay yours, without exception.

Third-party software

The agent installs software on your server that is not ours. Each piece keeps its own licence, which you accept by installing it. The list of that software and its licences is shown in the app, next to each service in the catalogue.

Restricted mode

Without a valid entitlement for seven days, the agent enters restricted mode: it refuses commands from the app and answers only that it is restricted. It stops no service, erases no data and touches no file. A restored subscription puts it back to work as it was.

Termination

The right to use ends with the subscription, or immediately on a serious breach of these terms or of the acceptable use policy. After termination your server stays an ordinary server: what runs keeps running, and the command to uninstall the agent is documented.
