Terms of service
The contract between you and the publisher of Pupitre: what the subscription gives you, what it does not, and what happens when it ends.

Working draft. The text describes what Pupitre will do the day the service opens. It binds no one while the publisher is not incorporated and the document has not been reviewed by a lawyer. Passages in brackets wait for legal or tax information that does not exist yet.
Who we are
The service is published by [legal name, company form, capital and registered address to be completed at incorporation]. You contract with that entity and with it alone. While it is not incorporated, Pupitre — the code, the brand, the domain names and the platform — belongs personally to Jordan Monier, who will transfer it to the company when it is formed. The product is called Pupitre; the site is pupitre.studio, the console app.pupitre.studio.

What the subscription covers
The subscription gives you the right to use the desktop app, the agent installed on your servers and the console, and to receive their updates. It is counted per managed server, paid monthly or yearly, and the prices shown on the pricing page are the ones that apply.
It does not cover the server, its hosting, your model provider subscriptions, or the licences of the third-party software the agent installs for you.
What you bring
You bring the server, the host account that bills it, and the model subscriptions your agents use. You stay responsible for what runs on the machine, for the data it holds, and for the backups you keep of it.
Your private keys never leave your computer. We hold no copy and have no way of obtaining one.
What we never do
No inbound connection to your server: your app calls out, never the other way round. No custody of your private keys. No support access to your machine — if support needs to see a log, it asks you to send it. Nothing readable dropped on the server: a binary and configuration files, nothing else.
Trial and payment
Fourteen days of trial, without a card. Then a monthly or yearly subscription, cancellable at any time from the console, running until the end of the period you paid for.
Payments are collected by Stripe as merchant of record: Stripe invoices, collects the applicable taxes and holds the payment data. We never see a card number. [Refund policy to be settled before the service opens.]
When the subscription ends
Your server keeps running. Installed services stay installed, your projects stay yours, nothing is erased.
The agent enters restricted mode seven days after the entitlement ends: it stops accepting commands from the app without stopping anything that runs. You lose the app, not the machine. Uninstalling the agent is documented and takes one command.
Availability and support
The app stays usable for seven days without the platform: an outage on our side does not cut you off from your servers. [Availability commitment and response times to be settled before the service opens.]

Liability
The service is provided as is, within the limits the applicable law allows. We are not liable for data lost on a server you administer, for what an agent you started does, or for bills from a host or a model provider.

Changes to these terms
A change is published on this page with its date. When it is unfavourable to you, it is announced by email to active accounts and takes effect at least thirty days later; you can cancel until then. Other changes take effect when they are published.
Law and jurisdiction
